These Terms and Conditions (“Terms”) govern the access to and use of services made available on or through http://skillwizz.com and/or the Skillwizz mobile application (collectively referred to as the “Platform”). The Platform and the services facilitated through it are together referred to as the “Services”.

These Terms include and incorporate by reference our Privacy Policy and any additional guidelines, policies, or supplemental terms issued by Skillwizz from time to time (“Supplemental Terms”). In case of any conflict, the Supplemental Terms applicable to a specific service shall prevail.

These Terms form a legally binding agreement between Skillwizz (“we”, “us”, or “our”) and the user (“you”, “Customer”, or “User”).

Your access to or use of the Platform constitutes a representation and warranty that you are legally competent to contract and a binding acceptance of these Terms. Any use in the absence of such acceptance is unauthorized.

  1. SERVICES

  1. Skillwizz provides and operates a digital platform that facilitates the booking of professional services offered by independent third-party service providers (hereinafter referred to as “Service Professionals”).

  2. The actual services delivered by Service Professionals are referred to as “Pro Services”. Skillwizz does not provide, perform, supervise, manage, endorse, guarantee, or assume responsibility for any services rendered by Service Professionals.

  3. Service Professionals can operate independently and are solely responsible for the services they provide. No relationship of employment, agency, partnership, joint venture, or representation is created under any circumstances.

  4. The Platform is intended for personal, non-commercial use and is currently operational within India only.

  5. Skillwizz may contact you via call, SMS, email, WhatsApp, or in-app notifications for operational, transactional, safety, or promotional purposes; restricting such communication may limit or prevent service delivery.

  6. Submission of valid identification or verification documents may be required as a condition to accessing certain Services or Pro Services.

  7. Skillwizz reserves the unrestricted right to modify, suspend, restrict, or withdraw access to the Platform or any feature thereof.

  1. ACCOUNT REGISTRATION

  1. Platform access requires account registration and confirmation that you are at least 18 years of age.

  2. You warrant that all information provided is accurate and current.

  3. Any and/or all activity conducted through your account shall be deemed authorized by you.

  4. Skillwizz shall not be liable for any loss or damage arising from unauthorized access to or use of your account.

  1. USER CONTENT

  1. Users may submit reviews, ratings, or other content (“User Content”) to the Platform.

  2. You represent and warrant that all User Content is lawful, accurate, and non-misleading.

  3. Submission of User Content grants Skillwizz a worldwide, perpetual, irrevocable, royalty-free license to use, modify, publish, and distribute such content for Platform operations, marketing, and legal compliance.

  4. Skillwizz may remove, restrict, or disable User Content at its sole discretion, without notice.

  1. DATA AND PRIVACY

  1. Skillwizz collects, stores, and processes personal data in accordance with its Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023.

  2. Data may be shared with Service Professionals, affiliates, vendors, or third parties solely for service delivery, analytics, compliance, risk mitigation, fraud prevention, and platform operations.

  3. Data may be disclosed to government, regulatory, or law enforcement authorities if required by law or regulation.

  4. Users are responsible for the accuracy and completeness of data provided; Skillwizz bears no liability for consequences arising from inaccurate or incomplete data.

  5. Skillwizz may monitor, store, and use anonymized or aggregated data for operational, analytical, or marketing purposes.

  6. Skillwizz may suspend or restrict access if data submission requirements are not met, without liability.

  1. BOOKINGS

  1. You may request Pro Services based on available slots displayed on the Platform.

  2. Bookings are confirmed via SMS, email, or app notification.

  3. Skillwizz may reassign or substitute Service Professionals and/or upon unavailability.

  4. Cancellation charges, if any, shall apply as per Skillwizz’s cancellation policy.

  1. PRICING AND PAYMENTS

  1. Charges for Pro Services, including platform, convenience, safety, or other applicable fees, are displayed at booking and are subject to change, and/or other applicable charges.

  2. Payments may be made via Skillwizz-integrated UPI, cards, net banking, wallets, or cash (where available); all transactions must be completed through the Platform.

  3. All payments are final and non-refundable unless otherwise stated or required by law.

  4. Prices may vary by location, demand, and/or availability at Skillwizz’s sole discretion.

  1. USER CONDUCT

  1. Discrimination, abuse, harassment, or unsafe conduct toward Service Professionals is strictly prohibited.

  2. You must provide a safe, clean, and suitable environment for service delivery.

  3. Skillwizz does not endorse or condone rough, aggressive, or threatening behaviour.

  4. Racism, caste-based discrimination, and/or any form of prejudice is strictly prohibited.

  5. Skillwizz may immediately suspend and/or terminate access for misconduct or violations of the terms.

  1. THIRD-PARTY SERVICES

The Platform may provide links or access to third-party services. Skillwizz exercises no control over, and assumes no responsibility or liability for, the content, availability, quality, or performance of such services.

  1. USER OBLIGATIONS

You agree not to, directly or indirectly:

  1. Misuse, disrupt, exploit, or interfere with the Platform, its systems, or its operations;

  2. Violate any applicable laws, rules, or regulations in connection with use of the Platform or Services;

  3. Circumvent the Platform by engaging, soliciting, or making or accepting payments to Service Professionals outside the Platform, including in cash or via personal UPI or bank accounts;

  4. Fail to make full and complete payment for any confirmed booking through the Skillwizz Platform;

  5. Make any payment directly to a Service Professional in cash or via personal UPI/bank account, which shall be at the Customer’s sole risk, and for which Skillwizz shall bear no liability;

  6. Attempt unauthorized access to the Platform, networks, data, or systems, or engage in hacking, scraping, or system interference;

  7. Provide false, inaccurate, misleading, or incomplete information while using the Platform;

  8. Engage in abusive, harassing, threatening, discriminatory, racist, or unsafe conduct toward any Service Professional or any other user;

  9. Create or permit unsafe, unlawful, or unhygienic conditions that may impair service delivery;

  10. Use the Platform for any commercial, unlawful, or unauthorized purpose.

Any violation or non-compliance with this Clause shall entitle Skillwizz, at its sole discretion and without prejudice to any other rights, to suspend or terminate access, cancel bookings, recover losses, and initiate appropriate legal action under applicable law.

  1. INTELLECTUAL PROPERTY

All content, trademarks, logos, designs, software, and intellectual property on the Platform are the exclusive property of Skillwizz or its licensors. Any unauthorized access, reproduction, distribution, modification, or use of such intellectual property is strictly prohibited and may result in civil and criminal liability under applicable law.

  1. TERMINATION

Skillwizz may suspend or terminate your account:

  1. For violation of these Terms

  2. For legal or regulatory reasons

  3. At its discretion with or without notice

You may terminate your account by contacting Skillwizz.

  1. DISCLAIMERS & LIMITATION OF LIABILITY

  1. Services are provided on an “as-is” basis without any express or implied warranties.

  2. Skillwizz is not responsible for the quality, safety, or outcome of Pro Services.

  3. Maximum liability of Skillwizz shall not exceed INR 10,000 or the platform fee collected for a specific booking, whichever is lower.

  1. INDEMNITY

You shall indemnify, defend, and hold Skillwizz, its affiliates, harmless from and against any and all claims, liabilities, losses, damages, costs, or expenses including legal fees arising directly and/or indirectly from your use, misuse, or breach of the Platform or these Terms.

  1. FORCE MAJEURE:

Skillwizz shall not be liable for any delay, failure, or inability to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, government actions, cyberattacks, or network failures.

  1. SEVERABILITY:

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or tribunal, the remaining provisions shall remain in full force and effect.

  1. GOVERNING LAW & DISPUTE RESOLUTION

  1. These Terms shall be governed by the laws of India.

  2. Any dispute shall be resolved through arbitration in Kolkata, in accordance with the Arbitration and Conciliation Act, 1996.

  1. GRIEVANCE REDRESSAL

Skillwizz will resolve grievances within timelines as prescribed by applicable law.

  1. ENTIRE AGREEMENT:

These Terms, together with the Privacy Policy and any Supplemental Terms, constitute the entire agreement between you and Skillwizz regarding the Platform and Services, superseding all prior agreements, understandings, or representations, whether oral or written.

  1. AMENDMENT:

Skillwizz reserves the right to modify, update, or amend these Terms at any time, in its sole discretion. Continued use of the Platform constitutes acceptance of such amendments.

  1. MISCELLANEOUS

  1. Skillwizz may update these Terms at any time.

  2. Continued use constitutes acceptance of updated Terms.

  3. If any provision is held invalid, the remaining provisions remain effective.
